Welcome to Modern Healer and www.modernhealer.com. Modern Healer is a brand of LITA LLC and may be operated and represented in part by Ryan Rockwell and his team (collectively referred to in this Agreement as “Modern Healer,” “LITA LLC,” “we,” “our,” or “us”).

These Terms of Service explain the rights and obligations that apply when you access or use our website, purchase a workshop, course, software subscription, or any other product or service from us.

By clicking any button or checkbox labeled “I Agree,” “I Accept,” “Buy Now,” “Enroll,” or similar, or by accessing or using the Website in any way, you are confirming that:

1. You have read and understood this Agreement, and

2. You agree to be legally bound by all of its terms and conditions.

If you do not agree to all of these Terms, you are not authorized to use the Website or purchase from us.

SECTION 1 – WEBSITE USE

The Website is intended for use by adults who are operating or representing a business, or purchasing for personal development or education.

By using the Website, you represent and warrant that:

- You are at least 18 years of age or the legal age of majority in your jurisdiction, whichever is greater.

- You have the legal capacity to enter into a binding contract.

- If you are using the Website on behalf of a business or organization, you are authorized to bind that business or organization to this Agreement.

If any of these statements are not true, you are not permitted to use the Website.


SECTION 2 – WEBSITE USER CONDUCT AND RESTRICTIONS; LICENSE TERMS
All content on the Website is owned or controlled by Modern Healer or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. This includes, without limitation:

- Text, designs, logos, taglines, graphics, icons, images, audio and video clips, downloads, training materials, course content, and software.


Unless we give you express written permission, you may not copy, reproduce, distribute, modify, adapt, publish, translate, display, perform, transmit, sell, license, or create derivative works from any part of the Website or our content.

The names Modern Healer, LITA LLC, any logos, taglines, and other brand identifiers used on the Website are proprietary to LITA LLC. Nothing in this Agreement grants you any right to use our trademarks, trade dress, or trade names for your own purposes.

Limited License to Use the Website

Subject to your ongoing full compliance with this Agreement, Modern Healer grants you a limited, revocable, non exclusive, non transferable, non sublicensable license to access and use the Website and any content you legitimately purchase or access, solely for your personal or internal business use.

You acknowledge and agree that:

- You do not obtain any ownership interest in the Website or any content.

- Your license is conditional and may be revoked at any time if you violate these Terms.


License to Software or Digital Products

If you purchase access to software, membership areas, online courses, recordings, templates, or any other digital products:

- You are granted a limited, revocable, non exclusive, non transferable, non sublicensable license to use such digital products strictly for your personal or internal business use.

- You may not resell, share, distribute, or publicly display the content, or use it to create competing products or services.

- You may not remove or alter any copyright, trademark, or proprietary notices.

Prohibited Uses and Harmful Acts

You agree not to use the Website or our products in any way that:

- Violates any applicable law or regulation.

- Infringes or misappropriates any intellectual property rights or other rights of Modern Healer, LITA LLC, Ryan Rockwell, or any third party.

- Harms or attempts to harm our reputation, business, or customers.

- Attempts to gain unauthorized access to any part of our systems, servers, networks, or accounts.

- Interferes with or disrupts the performance or security of the Website, including hacking, malware, or other harmful code.

Spam and Unsolicited Communications

Modern Healer has zero tolerance for spam or unauthorized commercial communications that reference our brand, products, or services.

You agree that you will not use our Website, systems, or brand in connection with:

- Unsolicited bulk emails or messages.

- Unwanted postings or solicitations in online groups, forums, or social platforms that violate anti spam laws or policies.

You are solely responsible for ensuring that all of your communications comply with applicable laws, including email and SMS marketing regulations.

Sensitive Information

You agree not to upload, store, or transmit any of the following types of sensitive personal data to our systems or within any contact lists that you manage through our services:

- Social Security numbers or national ID numbers.

- Full payment card numbers or financial account access credentials.

- Medical, health, or other sensitive personal data subject to specialized privacy regulations, unless we have specifically agreed in writing to receive and process such data.


SECTION 3 – OUR PRIVACY POLICY AND YOUR PERSONAL INFORMATION

SECTION 4 – INFORMATION YOU PROVIDE; REGISTRATION; PASSWORDS

To access certain features, workshops, courses, or software, you may be required to create an account with Modern Healer.

By creating an account, you represent and warrant that:

- All information you provide is true, accurate, current, and complete.

- You are not impersonating any person or entity.

You are responsible for:

- Maintaining the confidentiality and security of your username and password.

- Restricting access to your account and devices.

- All activities that occur under your account.

You agree not to:

- Share your login credentials with any third party.

- Sell, transfer, or assign your account to any other person or entity.

If you believe your account has been compromised, you must notify us promptly at [email protected] (or other email we specify). We are not responsible for any loss or damage arising from your failure to protect your account credentials.

Agency style multi client accounts (where you host paid funnels or software accounts for multiple unrelated clients) may require a separate written agreement with us and may be subject to additional fees. We reserve the right, in our sole discretion, to terminate or adjust pricing for any account that we reasonably believe is being used in a manner inconsistent with the intended use of our services.


SECTION 5 – ORDER PLACEMENT AND ACCEPTANCE

If you order a workshop, course, software subscription, event ticket, or any other product or service from us, the following applies:

- You agree to provide current, complete, and accurate billing and contact information.

- Payment must be successfully processed before your order is considered accepted.

- We may require additional information or verification before accepting any order.

Your receipt of an order confirmation does not constitute our acceptance of your order. We reserve the right, in our sole discretion, to refuse or cancel any order or limit the quantity of items purchased per person, per business, or per order.

If we cancel an order after you have been charged, we will issue a refund for the canceled portion.

All prices and financial transactions are processed in U.S. Dollars, unless specifically stated otherwise.


SECTION 6 – REFUNDS FOR HARD GOODS

From time to time, Modern Healer may offer physical products such as printed workbooks, books, or merchandise (collectively, “Hard Goods”).

Unless otherwise specified on the product page at the time of purchase, the following refund policy applies to Hard Goods:

1. You must request a refund in writing by emailing [email protected] within thirty (30) days of your purchase date.

2. If a return is required, we will provide you with return instructions by email.

3. You must return the Hard Goods in the condition required in our instructions, which will generally be new or like new and resellable, in our reasonable discretion.

4. Once we receive and inspect the returned items, we will issue a refund of the purchase price paid for the Hard Goods, less any applicable shipping charges, unless otherwise stated.

Digital products, workshops, and online courses are governed by the refund terms presented at the time of purchase, which may differ from this section.


SECTION 7 – AUTOMATIC ENROLLMENT AND PAYMENT, AND CANCELLATION

If you sign up for a free trial or promotional access that automatically converts into a paid subscription unless canceled:

- You must cancel at least twenty four (24) hours before the end of the trial or promotional period to avoid being charged.

- If you do not cancel on time, you authorize us to charge the payment method on file for the applicable subscription fee.

To cancel, you may:

- Use the account management tools inside your member dashboard (if available), or

- Email [email protected] with a clear request to cancel your subscription.


We may change subscription pricing or terms at any time. If we do so, we will notify you in advance by email or by posting on the Website, and such changes will apply beginning with your next billing cycle.


Unless otherwise specified in a particular offer:

- We do not provide prorated refunds for partial months.

- All sales of digital access, workshops, and events are final, except as expressly provided in the specific refund policy for that offer.


SECTION 8 – SUBSCRIPTION TERMS AND AUTOMATIC PAYMENT

If you purchase any recurring subscription from Modern Healer (including but not limited to software, membership sites, or ongoing coaching programs):

- You authorize us to automatically bill your chosen payment method on a recurring basis (for example, monthly or annually, as specified at checkout).

- Subscription fees will be charged in advance for the upcoming billing period.


You agree that:

- Your subscription will continue until you cancel in accordance with this Agreement.

- Failure to use or access the products or services does not relieve you of the obligation to pay subscription fees.

We may use secure third party payment processors to handle transactions. By providing your payment information, you authorize us and our processors to store and use your information in accordance with our Privacy Policy and the payment processor’s own policies.


If your payment method fails, we may:

- Attempt to re process the charge.

- Contact you to update your payment information.

- Suspend or terminate your access to the subscription until payment is successfully collected.

We reserve the right to charge applicable taxes on subscription fees where required by law.


SECTION 9 – SHIPPING FEES

If you order any physical products or materials that require shipping:

- Shipping and handling fees may apply and will be disclosed at checkout, unless stated otherwise.

Any quoted delivery times are estimates only and not guaranteed.

Risk of loss and title passes to you once we deliver your order to the carrier.

We are not liable for delays caused by carriers, customs, or events outside our control.


SECTION 10 – PRODUCTS, SERVICES, AND PRICES AVAILABLE ON THE WEBSITE

All descriptions of products, services, workshops, courses, and subscriptions on the Website are subject to change at any time without notice. We reserve the right to:

- Modify or discontinue any product or service.

- Change pricing, including recurring subscription fees, for future billing cycles.

If we increase pricing for an existing subscription, we will provide notice by email or via your account dashboard before the new pricing takes effect.

We strive to display accurate information, but we do not warrant that product or service descriptions, pricing, or other content is complete, current, or error free. If we discover an error related to your order, we may contact you for instructions or cancel the order and issue a refund where appropriate.

Modern Healer, LITA LLC, and Ryan Rockwell provide education, coaching, and software tools. We are not acting as your:

- Licensed medical provider or mental health provider.

- Licensed legal counsel.

- Licensed financial advisor, investment advisor, or tax professional.

All content, workshops, coaching sessions, templates, and software are for informational and educational purposes only. Nothing we provide is legal, medical, financial, tax, or investment advice, and you should not rely on any information from us as a substitute for professional advice from qualified advisors who are familiar with your specific situation.

You are solely responsible for:

- Your decisions and actions in your business, health, relationships, finances, and life.

- Any use or implementation of ideas, strategies, or tools we share.

Past results, testimonials, or case studies are not guarantees of future performance. Results differ for each individual and business based on many factors, including but not limited to skills, experience, implementation, market conditions, personal health, and personal effort.


SECTION 12 – TESTIMONIALS, REVIEWS, AND PICTURES / VIDEOS

We appreciate feedback from our customers. By submitting any testimonial, review, endorsement, photograph, video, or similar content to Modern Healer (including through surveys, email, chat, or social media):

- You grant Modern Healer and LITA LLC a worldwide, perpetual, irrevocable, royalty free, non exclusive license to use, reproduce, modify, publish, translate, display, and distribute such content, in whole or in part, in any media now known or later developed, for marketing, promotional, and other business purposes.

- You represent and warrant that you own or control all rights in the content you submit and that our use of it will not infringe the rights of any third party.


We may edit for length, clarity, or grammar, but we will not materially alter the substance of your expressed experience.


Testimonials and case studies represent the experiences of particular individuals. They are not intended to represent or guarantee that any other person will achieve the same or similar results.


SECTION 13 – DISCLAIMERS OF OTHER WARRANTIES

EXCEPT WHERE PROHIBITED BY LAW, THE WEBSITE, OUR PRODUCTS, SERVICES, DIGITAL CONTENT, AND SOFTWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, MODERN HEALER, LITA LLC, AND THEIR OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

- IMPLIED WARRANTIES OF MERCHANTABILITY,

- FITNESS FOR A PARTICULAR PURPOSE,

- NON INFRINGEMENT,

- TITLE, AND

- ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

- THE WEBSITE OR ANY SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE.

- DEFECTS WILL BE CORRECTED.

- THE WEBSITE OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

- THE INFORMATION PROVIDED IS ACCURATE, COMPLETE, OR CURRENT.

- ANY PARTICULAR RESULTS WILL BE ACHIEVED BY USING OUR PRODUCTS OR SERVICES.


YOUR USE OF THE WEBSITE, PRODUCTS, SERVICES, AND SOFTWARE IS AT YOUR SOLE RISK.



SECTION 14 – LIMITATIONS OF LIABILITIES

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MODERN HEALER, LITA LLC, RYAN ROCKWELL, OR ANY OF THEIR OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, INDEPENDENT CONTRACTORS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:

- INDIRECT,

- INCIDENTAL,

- SPECIAL,

- EXEMPLARY,

- CONSEQUENTIAL, OR

- PUNITIVE DAMAGES,

INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

- THIS AGREEMENT,

- THE WEBSITE,

- ANY PRODUCTS OR SERVICES, OR

- YOUR USE OF OR INABILITY TO USE THE SAME,

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE WEBSITE OR OUR PRODUCTS OR SERVICES WILL NOT EXCEED THE GREATER OF:

1. THREE (3) TIMES THE AMOUNT YOU PAID TO MODERN HEALER IN THE ONE (1) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR

2. TWO THOUSAND DOLLARS (US $2,000).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.


SECTION 15 – DISPUTE RESOLUTION BY MANDATORY BINDING ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except where prohibited by law, you agree that any dispute, claim, or controversy arising out of or relating to:

- This Agreement,

- The Website,

- Any product or service provided by Modern Healer or LITA LLC, or

- Your relationship with us,

will be resolved exclusively through binding, confidential arbitration rather than in court.

You understand and agree that:

- You are waiving your right to a jury trial.

- You may bring claims only in your individual capacity, not as a plaintiff or class member in any class or representative proceeding.

- The arbitrator may not consolidate or join claims of multiple parties into a single proceeding.


Informal Resolution

- Before initiating arbitration, you agree to first attempt to resolve the dispute informally by emailing us at [email protected] with a description of your claim. We will attempt to resolve the dispute through informal negotiations within 60 days of your email.

If we are unable to resolve the dispute within 60 days, either party may initiate arbitration.

Arbitration Rules

Arbitration shall be administered by the American Arbitration Association (AAA) or a similar reputable arbitration provider, under its applicable rules for commercial disputes. The arbitration will be conducted:

- In the English language, and

- In the county where LITA LLC has its principal place of business, unless both parties agree to another location or to conduct the arbitration by video conference or written submissions.

The arbitrator will have exclusive authority to:

- Determine the scope and enforceability of this arbitration agreement.

- Resolve any dispute relating to the interpretation, applicability, or enforceability of this Agreement.


Each party will pay its own attorneys’ fees and costs, unless the arbitrator determines that a statute or contract requires an award of attorneys’ fees to the prevailing party.


If any part of this arbitration provision is found unenforceable, the remaining parts shall remain in effect. If the class action waiver is found unenforceable in a way that allows arbitration to proceed on a class or representative basis, this entire arbitration provision will be void.


SECTION 16 – MODERN HEALER’S ADDITIONAL REMEDIES

You agree that any actual or threatened breach of this Agreement by you, including any unauthorized use or disclosure of our intellectual property, may cause immediate and irreparable harm to Modern Healer for which monetary damages alone may be inadequate.

In such cases, Modern Healer and LITA LLC will be entitled to seek temporary, preliminary, and permanent injunctive relief or other equitable relief in addition to any other remedies available at law, without the need to post a bond or prove actual damages, to the extent permitted by law.


SECTION 17 – INDEMNIFICATION

To the fullest extent allowed by law, you agree to indemnify, defend, and hold harmless:

- Modern Healer,

- LITA LLC,

- Ryan Rockwell, and

- Their officers, members, directors, employees, contractors, affiliates, and agents

from and against all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

1. Your use or misuse of the Website, products, or services.

2. Your breach of this Agreement or any representations and warranties you make herein.

3. Your violation of any law or the rights of any third party.


We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.



SECTION 18 – NOTICE AND TAKEDOWN PROCEDURES; COPYRIGHT AGENT (DMCA)

If you believe that any content on the Website infringes your copyright, you may send a notice under the Digital Millennium Copyright Act (DMCA) to our designated Copyright Agent with the following information:

- A physical or electronic signature of the copyright owner or person authorized to act on their behalf.

- Identification of the copyrighted work claimed to have been infringed.

- Identification of the material that is claimed to be infringing, with enough information to permit us to locate it.

- Your contact information.

- A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law.

-A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

SECTION 19 – THIRD PARTY LINKS

The Website may contain links to third party websites, products, or services that are not owned or controlled by Modern Healer.

We are not responsible for:

- The content, policies, or practices of any third party websites or services.
- Any damage or loss caused or alleged to be caused by your use of or reliance on any such websites or services.


You access third party websites at your own risk and should review their terms and privacy policies.



SECTION 20 – TERMINATION

This Agreement takes effect when you first access the Website or when you indicate your acceptance, whichever occurs first.

We reserve the right, in our sole discretion and without notice, to:

- Suspend or terminate your access to the Website, products, or services, and

- Terminate this Agreement,

if we believe you have violated this Agreement or applicable law, or if your use may cause harm to us, our customers, or third parties.

Upon termination:

- Your right to access the Website and services will immediately cease.

- You remain responsible for any outstanding payments owed to us.

Sections of this Agreement that by their nature should survive termination (including but not limited to Sections 11 through 29) will continue in full force and effect.


SECTION 21 – NO WAIVER

No failure or delay by Modern Healer, LITA LLC, or Ryan Rockwell in exercising any right or remedy under this Agreement will operate as a waiver of that or any other right or remedy.

Any waiver must be in writing and signed by an authorized representative of LITA LLC.


SECTION 22 – GOVERNING LAW AND VENUE

This Agreement and any dispute or claim relating to it shall be governed by and construed in accordance with the laws of the state in which LITA LLC is formed, without regard to its conflict of law principles.

To the extent any dispute is found not to be subject to arbitration under Section 15, you agree that such dispute shall be brought exclusively in the state or federal courts located in the jurisdiction where LITA LLC has its principal place of business, and you consent to the personal jurisdiction and venue of such courts.

All such claims must be brought on an individual, non class, non representative basis.


SECTION 23 – FORCE MAJEURE

Modern Healer and LITA LLC will not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, labor disputes, wars, governmental actions, failures of telecommunications or internet services, or failures of third party hosting services.


SECTION 24 – ASSIGNMENT

We may assign, transfer, or delegate our rights and obligations under this Agreement at any time, with or without notice, to another entity, such as a successor, affiliate, or acquirer.

You may not assign or transfer your rights or obligations under this Agreement without our prior written consent, and any attempted assignment without such consent is void.
